My CMS Licence Terms
1. Introduction
1.1 These Licence Terms govern the commercial licence entitlement, deployment and renewal arrangements for My CMS, a WordPress plugin and software product developed and distributed by My Tech Group.
1.2 These Licence Terms apply to each Customer who purchases, activates, renews, trials or otherwise receives entitlement to use My CMS, including agencies, companies, partnerships, charities, public sector bodies, other organisations and sole traders acting in the course of business.
1.3 These Licence Terms are intended for business use. My CMS is not supplied under these terms for personal, household or domestic use.
2. Relationship with the Software Licence Agreement
2.1 Use of My CMS is subject to both these Licence Terms and the separate My CMS Software Licence Agreement.
2.2 These Licence Terms govern commercial matters, including licence duration, Licensed Sites, site entitlements, Subscription Periods, Renewal Dates, Trials, staging use, domain changes, support entitlement, expiry, grace periods, payment, refunds, agency use and related licensing administration.
2.3 The My CMS Software Licence Agreement governs matters including software ownership, intellectual property rights, restrictions on redistribution and resale, branding, modification, security, warranties, limitation of liability, software operation, compatibility, Third-Party Software and other general legal terms governing use of the Software.
2.4 If there is a conflict between these Licence Terms and the Software Licence Agreement, these Licence Terms shall prevail in relation to commercial licence entitlement, Licensed Sites, Subscription Periods, Renewal Dates, Trials, support entitlement and site entitlement. The Software Licence Agreement shall prevail in relation to intellectual property, permitted software use, warranties, liability, security, restrictions, modification and general software-use matters, unless a document expressly states that it overrides a specific clause of the other document.
3. Definitions
3.1 Customer means the person, business, agency, organisation or other entity that purchases, activates, renews, trials or otherwise receives entitlement to use My CMS.
3.2 Licence means the commercial entitlement to use My CMS on the applicable number of Licensed Sites during the relevant Subscription Period, subject to these Licence Terms and the Software Licence Agreement.
3.3 Licence Key means any licence key, token, identifier or activation mechanism issued or recognised by My Tech Group for activating, verifying, managing or updating My CMS.
3.4 Licensed Site means a named production website or domain authorised against the Customer's Licence.
3.5 My CMS or Software means the My CMS WordPress plugin and related software components supplied by My Tech Group.
3.6 My Tech Group means My Tech Group, and its employees/associates.
3.7 Renewal Date means the date on which the relevant Subscription Period expires unless renewed.
3.8 Staging Site means a development, staging, preview or testing installation that clearly relates to an authorised Licensed Site and is not used as a separate production website.
3.9 Subscription Period means the period for which the Customer's paid Licence is active, normally twelve months unless a different period has expressly been agreed in writing.
3.10 Trial means a free trial period made available by My Tech Group for evaluation of My CMS before purchase.
4. Subscription Model
4.1 My CMS is normally licensed on an annual subscription basis.
4.2 Each paid Licence is valid for a Subscription Period of twelve months unless a different period has expressly been agreed in writing by My Tech Group.
4.3 During an active Subscription Period, the Customer may use My CMS on the applicable Licensed Sites, subject to the number of site entitlements purchased, these Licence Terms and the Software Licence Agreement.
4.4 My CMS is not sold as a perpetual-use product. Except where My Tech Group expressly agrees otherwise in writing, continued use of licensed functionality depends on the Licence remaining valid.
5. My Media and My Web Included Entitlement
5.1 Customers whose websites were designed by My Media, which forms part of My Tech Group, and which continue to be hosted with My Web, which also forms part of My Tech Group, are currently entitled to continued use of My CMS without a separate My CMS subscription charge for the duration of the relevant qualifying My Web hosting or service contract.
5.2 This included entitlement is conditional upon the relevant website remaining eligible, an active qualifying My Web hosting or service contract remaining in place, and the Customer complying with these Licence Terms and the Software Licence Agreement.
5.3 The included entitlement is a commercial benefit or concession. It is not a perpetual licence, is not transferable independently of the relevant My Web arrangement, and does not create an irrevocable lifetime entitlement.
5.4 My Tech Group may change, restrict, replace, withdraw or charge for this included entitlement in the future. Where reasonably practicable, My Tech Group may provide advance notice of material changes affecting continued access.
5.5 If the qualifying My Web relationship ends, the included My CMS entitlement may also end. The Customer may then be required to purchase a normal My CMS Licence in order to continue using My CMS.
6. Site Entitlements
6.1 Licences are sold according to the number of production websites purchased. The Customer may purchase entitlement for one or more Licensed Sites.
6.2 A single Licence Key may cover multiple Licensed Sites where the Customer has purchased the corresponding number of site entitlements.
6.3 For example, if a Customer purchases five site entitlements, the same Licence Key may be authorised for five named production websites.
6.4 Owning or holding a Licence Key does not authorise installation or use on an unlimited number of websites. The number of production websites using My CMS must not exceed the number of site entitlements purchased or otherwise authorised by My Tech Group.
6.5 My Tech Group may offer volume discounts, negotiated pricing, promotional pricing or discretionary discounts. No Customer is entitled to demand the same pricing, discount or concession provided to any other customer.
7. Licensed Sites
7.1 A Licensed Site is the named production domain authorised against the Customer's Licence, such as example.org, example.co.uk or, where separately treated as a production website, shop.example.com.
7.2 The Licence generally relates to the relevant production website or domain, not to every website, domain, subdomain, mirror, client project or associated business owned, managed or operated by the Customer.
7.3 My Tech Group may require the Customer to identify the production domains to be authorised against a Licence Key and may maintain reasonable records of those domains for licence administration, renewal and enforcement.
8. Staging and Development Sites
8.1 A Staging Site may be used without consuming an additional site entitlement where it operates on a subdomain of an authorised Licensed Site and clearly relates to that Licensed Site.
8.2 For example, if example.org is an authorised Licensed Site, staging.example.org may be used as a Staging Site without requiring another paid site entitlement.
8.3 Other reasonable staging or development prefixes may also be accepted, including dev.example.org, development.example.org, test.example.org and preview.example.org, provided that they clearly relate to the licensed production domain.
8.4 Staging entitlement does not automatically apply to arbitrary unrelated domains. For example, example-staging.net does not automatically qualify as a Staging Site merely because example.org is licensed.
8.5 My Tech Group may determine whether an installation reasonably constitutes a Staging Site rather than a separate production website. If a supposed staging or development environment is being used as a genuine public production site, My Tech Group may require an additional site entitlement.
9. Agency and Client Use
9.1 Agencies, designers, developers and other service providers may purchase Licences for websites belonging to their clients.
9.2 A client does not need to purchase the Licence personally, provided the relevant production website is included within the Customer's purchased site entitlement and is properly authorised against the relevant Licence Key.
9.3 For example, an agency may purchase a Licence covering ten websites and allocate those ten authorised Licensed Sites across websites operated for different clients.
9.4 Agency use remains subject to these conditions:
- the number of production sites must remain within the number purchased;
- each production site must be properly authorised under the relevant Licence Key;
- the Licence Key must not be distributed as a standalone product; and
- the Licence must not be resold, sub-licensed or commercially separated from the permitted website service in a way that breaches the Software Licence Agreement.
9.5 Restrictions on redistribution, resale, white-labelling, branding and intellectual property are governed in more detail by the Software Licence Agreement.
10. Licence Keys
10.1 A Licence Key is used to activate, verify and manage the Customer's Licence. A Licence Key may represent one or more site entitlements.
10.2 A Licence Key is not proof of unlimited rights. The Customer's permitted use depends on the active site entitlement, Subscription Period, authorised domains, these Licence Terms and the Software Licence Agreement.
10.3 My Tech Group may replace, rotate, invalidate or reissue a Licence Key where reasonably necessary for licensing administration, security, abuse prevention, support or correction of licence records.
11. Domain Changes
11.1 A Licensed Site may be replaced with another domain during an active Subscription Period, but domain changes are not automatically self-service.
11.2 The Customer must request a domain change by contacting [email protected].
11.3 A £10 administration charge is payable for each requested domain change. My Tech Group may change this administration charge in future on reasonable notice or for future transfer requests.
11.4 Once a domain change is completed, the old domain will cease to be authorised and the new domain will replace it under the Licence. A domain change does not increase the Customer's total number of site entitlements.
11.5 My Tech Group may refuse or delay a domain change where there is an unpaid balance, the Licence has been suspended, misuse is suspected, there is a dispute regarding ownership or authorisation, or the requested change appears intended to circumvent licensing limits.
12. Free Trial
12.1 My CMS may be made available on a seven-day free Trial so that prospective Customers can evaluate the Software before purchasing a paid subscription.
12.2 The Trial lasts seven days from activation or commencement unless My Tech Group expressly agrees a different trial period in writing.
12.3 No payment is due during the free Trial unless otherwise expressly agreed. The Customer may decide not to continue after the Trial.
12.4 After the Trial ends, continued licensed use requires payment for an appropriate subscription.
12.5 Trial availability may be limited. My Tech Group may require reasonable identifying, domain or licence information in connection with Trial activation.
12.6 My Tech Group may prevent repeated, abusive or fraudulent Trial registrations. The Trial must not be used to circumvent paid licensing.
13. Payment
13.1 Paid subscriptions must be paid in accordance with the applicable invoice or agreed payment terms.
13.2 A Licence may not be treated as renewed until payment has been received or renewal has otherwise been expressly confirmed by My Tech Group.
13.3 My Tech Group may suspend activation, renewal, support or other licence benefits where payment is overdue, disputed, reversed, charged back or otherwise not received in cleared funds.
14. Refunds
14.1 The seven-day free Trial exists so that Customers can assess compatibility, functionality and suitability before purchasing a paid Licence.
14.2 Once a Customer elects to purchase a paid Licence, payments are non-refundable except where a refund is required by applicable law or My Tech Group expressly agrees otherwise in writing.
14.3 The Customer is responsible for using the Trial period to decide whether My CMS meets its requirements before payment is made.
14.4 Refunds are not available merely because the Customer changes its mind, stops using the Software, cancels a website, allows a project to end, experiences a later third-party platform change, experiences a later compatibility issue, or because functionality changes after purchase in accordance with the Software Licence Agreement.
14.5 Nothing in this clause excludes or limits any right that cannot lawfully be excluded or limited.
15. Renewal
15.1 Subscriptions renew manually, not automatically. My Tech Group deliberately uses manual renewals and does not automatically lock Customers into recurring contracts.
15.2 Approximately 30 days before the Renewal Date, My Tech Group will normally issue an invoice or renewal notification to the named licence contact.
15.3 Receipt of an invoice or renewal notification is not guaranteed. The Customer must ensure that the contact information supplied to My Tech Group remains accurate and is responsible for renewing the subscription if continued access is required.
15.4 Failure to receive an invoice, renewal request or reminder does not automatically extend the Licence, Subscription Period, grace period or support entitlement.
15.5 My Tech Group may change future renewal pricing. A previous subscription price does not create a permanent entitlement to the same renewal price. Pricing changes should normally apply prospectively to future renewal periods.
16. Expiry and Grace Period
16.1 If a Licence is not renewed by the Renewal Date, it enters a seven-day grace period.
16.2 During the grace period, the Licence should normally continue to operate to allow time for administrative delays, missed emails, payment processing or other reasonable renewal issues.
16.3 The grace period does not guarantee indefinite continued access, does not renew the Licence, and does not create a new Subscription Period.
16.4 After the seven-day grace period has ended without renewal, certain functionality may be disabled, restricted, suspended or cease to operate. This may include My CMS Gutenberg blocks, My CMS Elementor blocks or widgets, other modules, integrations or licensed functionality.
16.5 Support entitlement ends when the Licence expires following the grace period, unless My Tech Group expressly agrees otherwise in writing.
16.6 Continued functioning after expiry is not guaranteed. My CMS is not sold as a perpetual-use Licence.
17. Functionality After Expiry
17.1 After expiry, My CMS may remain installed on a website, but licensed functionality may become disabled, restricted, suspended or unavailable.
17.2 Different modules may respond differently to expiry. These Licence Terms do not state that the entire plugin must necessarily deactivate automatically.
17.3 Customers should consider the operational effect of expiry before allowing a Licence to lapse, particularly where My CMS functionality is used on a production website.
17.4 Subject to the liability provisions in the Software Licence Agreement, My Tech Group is not responsible for business disruption caused by the Customer choosing not to renew, failing to renew, failing to maintain current contact details or allowing a Licence to expire.
18. Updates After Expiry
18.1 Expiry removes the Customer's normal entitlement to licensed functionality and support, but software updates are not automatically blocked solely because a Licence has expired.
18.2 My Tech Group may continue to make Updates technically available to expired installations. This allows My Tech Group to correct licence-state errors, fix licence verification bugs, resolve infrastructure-related problems, distribute security or compatibility fixes where appropriate, or repair an installation incorrectly identified as unlicensed.
18.3 Availability of an Update after expiry does not mean the Licence has been renewed, extended, reinstated or converted into a perpetual Licence.
18.4 Installation of an Update after expiry does not restore expired functionality unless the Licence itself is valid or My Tech Group expressly confirms otherwise.
18.5 My Tech Group is under no obligation to provide any particular Update to expired installations.
19. Support
19.1 Technical support is included while a paid Licence is active, unless the applicable order, invoice or written agreement states otherwise.
19.2 Support is provided via [email protected] or such other support channel as My Tech Group may specify.
19.3 Support entitlement ends when the Licence expires following the grace period, is suspended, or is terminated.
19.4 Support is provided on a reasonable-efforts basis. My Tech Group does not guarantee any particular response time, resolution time, fix, compatibility outcome, custom development, or that every issue can be resolved.
19.5 Support does not include support for unrelated WordPress issues, hosting issues, Elementor issues, third-party plugin or theme issues, custom development, modified installations or other matters outside My Tech Group's reasonable control, except where My Tech Group expressly agrees otherwise in writing.
19.6 Broader support exclusions and operational risk provisions are set out in the Software Licence Agreement.
20. Licence Verification
20.1 My CMS may periodically communicate with My Tech Group servers to determine whether a Licence Key is valid, which domains are authorised, how many site entitlements exist, whether a subscription is active, expired, suspended or within its grace period, and whether Updates are available.
20.2 Technical licence verification and server communications are governed in more detail by the Software Licence Agreement.
20.3 Blocking, disrupting, falsifying or interfering with licence verification may affect activation, licence status, support entitlement, update handling or functionality.
21. Licence Key Security
21.1 The Customer is responsible for keeping its Licence Key reasonably secure.
21.2 The Licence Key must not be publicly published, shared with unrelated third parties, posted on forums, included in public repositories, deliberately distributed to facilitate unauthorised activations, or used to exceed purchased site limits.
21.3 The Customer should notify My Tech Group promptly if it reasonably believes a Licence Key has been compromised.
21.4 My Tech Group may replace or invalidate a compromised Licence Key where reasonably necessary for security, abuse prevention or licence administration.
22. Abuse and Circumvention
22.1 My Tech Group may suspend, restrict, revoke, replace or terminate a Licence Key where there are reasonable grounds to believe it is being abused or used in breach of these Licence Terms or the Software Licence Agreement.
22.2 Examples of abuse include sharing Licence Keys, piracy, unauthorised redistribution, activations exceeding purchased site limits, deliberate attempts to circumvent activation or licence checks, interference with licence verification, fraudulent use, repeated Trial abuse, deliberate falsification of domain information, use of hacked, nulled or unauthorised versions, and other material breaches.
22.3 Where appropriate, My Tech Group may first contact the Customer and provide a reasonable opportunity to resolve the issue.
22.4 My Tech Group may act immediately where reasonably necessary to prevent ongoing abuse, protect licensing infrastructure, prevent fraud, protect other users, address security concerns or respond to serious misuse.
22.5 Suspension, restriction, revocation or termination for misuse does not automatically create an entitlement to a refund.
23. Suspension
23.1 My Tech Group may suspend a Licence, Licence Key, support entitlement, domain transfer request, activation or other licensing benefit where the Customer breaches these Licence Terms, breaches the Software Licence Agreement, fails to pay amounts due, exceeds site limits, misuses a Licence Key, circumvents licence verification or creates a security, fraud or abuse risk.
23.2 Suspension may continue until the relevant issue is resolved to My Tech Group's reasonable satisfaction.
23.3 Suspension does not extend the Subscription Period unless My Tech Group expressly agrees otherwise in writing.
24. Changes to Plans and Pricing
24.1 My Tech Group may change licence prices, available site quantities, discount structures, plan names, commercial features, included services, renewal pricing, administrative charges and future licensing arrangements.
24.2 Changes should normally apply to future purchases and future renewal periods rather than retroactively altering a Subscription Period already paid for, unless reasonably necessary or expressly permitted elsewhere in these Licence Terms or the Software Licence Agreement.
24.3 Discounts, special pricing, concessions and promotional arrangements are discretionary. No discount or concession creates a right to receive the same discount or concession on future purchases or renewals.
24.4 The complimentary or included My CMS entitlement available to qualifying My Media and My Web customers is not guaranteed indefinitely. It may be changed, restricted, replaced, withdrawn, made subject to different eligibility requirements or become chargeable in future. Where reasonably practicable, My Tech Group may provide advance notice of material changes affecting continued access.
25. Cancellation and Non-Renewal
25.1 Because subscriptions do not automatically renew, a Customer who does not wish to continue generally does not need to submit a cancellation request solely to prevent another annual charge.
25.2 A Customer may contact [email protected] if they wish to have a Licence Key or site entitlement deactivated early.
25.3 Early cancellation does not normally entitle the Customer to a partial refund for the unused portion of an already-paid Subscription Period.
25.4 Non-renewal allows the Licence to expire in accordance with clauses 16 to 18.
26. Termination
26.1 My Tech Group may terminate a Licence for material breach of these Licence Terms, the Software Licence Agreement, payment obligations, site limits, licence-use restrictions or anti-abuse provisions.
26.2 Where a breach is minor and capable of remedy, My Tech Group may provide the Customer with a reasonable opportunity to remedy the breach.
26.3 My Tech Group may terminate or suspend immediately in cases involving serious abuse, piracy, fraud, deliberate circumvention, unauthorised redistribution, repeated misuse, security risk or other conduct that My Tech Group reasonably considers requires immediate action.
27. Effect of Expiry or Termination
27.1 Expiry or termination may result in Gutenberg blocks being disabled, Elementor widgets or blocks being disabled, other modules or functionality ceasing to operate, access to support ending, licence validation changing to expired, suspended or terminated, and other restrictions being applied.
27.2 Customers should consider these effects before allowing a Licence to lapse or before engaging in conduct that may result in suspension or termination.
27.3 Expiry or termination does not affect any rights, obligations or liabilities that accrued before expiry or termination.
28. No Perpetual Rights
28.1 Except where My Tech Group expressly agrees otherwise in writing, purchasing a subscription does not confer perpetual rights.
28.2 Continued use of licensed functionality depends upon the Licence remaining valid.
28.3 Past payment does not entitle the Customer to indefinite future operation of premium or licensed functionality.
28.4 The fact that Updates may remain technically available after expiry does not create or imply a perpetual Licence, an active subscription, renewed support entitlement or continued entitlement to licensed functionality.
29. Licence Records
29.1 My Tech Group may maintain reasonable records identifying the Customer, Licence Key, Subscription Period, Renewal Date, authorised domains, number of purchased site entitlements, licence status and domain transfer history.
29.2 These records may be used for licence administration, renewal, support, entitlement checks, fraud prevention and enforcement of these Licence Terms.
29.3 Privacy and data protection matters are governed by the applicable privacy documentation made available by My Tech Group.
30. General Provisions
30.1 If any provision of these Licence Terms is or becomes invalid, illegal or unenforceable, the remaining provisions shall continue in force.
30.2 A failure or delay by My Tech Group to exercise any right or remedy does not constitute a waiver of that or any other right or remedy.
30.3 The Customer must not assign or transfer its Licence or site entitlement without My Tech Group's prior written consent, except to the extent expressly permitted by these Licence Terms or agreed in writing.
30.4 My Tech Group may update these Licence Terms from time to time. Where reasonably practicable, changes should apply prospectively and notice may be provided for material changes.
30.5 These Licence Terms, together with the Software Licence Agreement and the applicable invoice, order or written commercial agreement, constitute the entire agreement between the parties in relation to the commercial licensing of My CMS.
30.6 A person who is not a party to these Licence Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Licence Terms.
31. Governing Law and Jurisdiction
31.1 These Licence Terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of England and Wales.
31.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Licence Terms, subject to any legal limitation that may apply.
32. Contact
32.1 The Customer must keep relevant licence contact information reasonably current.
32.2 Renewal notices, licence administration messages and important service communications may be sent to the contact details held by My Tech Group.
